Shareholders' Meeting Resolution

At the meeting of 29 July 2010 the Shareholders of Rai unanimously resolved:

�E to approve RAI �V Radiotelevisione Italiana SpA��s draft statutory financial statements as at 31 December 2009, which comprise the balance sheet, income statement and notes to the financial statements closing with a loss of 79.929.950,22 euros, and the report on operations;
�E to cover the loss of 79.929.950,22 euros through the utilisation of other reserve �V merger surplus for the same amount;
�E to acknowledge the consolidated financial statements of the Group for the year 2009 �V balance sheet, income statement and notes to the consolidated financial statements �V and the report on operations, closing with a loss of 61.8 million euros.
